If there's one idea I'd take away from Episode 10, it's this:
The best business sales don't start when an offer arrives.

They start years earlier.

You build a company with:
Strong management.
Transferable customer relationships.
Reliable financial information.
Documented systems.
Organized records.
And less dependence on the owner.

Then, when the right buyer eventually appears, you're negotiating from a position of preparation rather than reacting under pressure.

That's how you create options.

That's how you create leverage.

And ultimately, that's how you give yourself the best opportunity to protect the value you've spent decades building.

If I were sitting across the desk from a business owner preparing to speak with a potential buyer, there are a few things I'd want them to remember.

Don't rush to name your price before understanding what the business is worth to that particular buyer.

Don't agree to terms before your lawyer and CPA have reviewed the complete structure.

Understand the after-tax result - not simply the headline purchase price.

Know your adjusted EBITDA before negotiations begin.

Have your records organized.

And protect confidential information before sharing it.

A great offer can still become a poor transaction if the structure doesn't work for you.

The highest purchase price isn't necessarily the best deal.

That is why your advisory team should be involved before you agree to the major terms - not after.

Would Your Business Be Ready If a Buyer Called Tomorrow?

Here are five areas I'd look at:
1. Financial information
Are your financial statements current, accurate and easy to understand?
2. Customer relationships
Do customers have relationships with the company - or primarily with you?
3. Contracts and documentation
Are important customer, supplier, employee and lease agreements documented and readily available?
4. Management
Can your leadership team operate the business without relying on you for every decision?
5. Corporate records
Are your minute book, tax filings and other important records current and organized?

You don't need to be selling your business tomorrow to work on these things.
In fact, that's the point.

Buyers want to invest in a business. They don't want to purchase another job.

Think about what happens if:
Every major customer relationship belongs to you.
Every important decision comes through you.
Employees can't solve problems without you.
Suppliers call you.
Sales depend on you.
And nobody else really understands how everything fits together.

You may have built a successful company.

But from a buyer's perspective, there's considerable risk attached to your departure.

Now imagine the opposite:
A strong management team.
Documented processes.
Established customer relationships throughout the organization.
Clear responsibilities.
Managers who already make day-to-day decisions.

That's a much more transferable business.

One of the best ways to prepare your company for succession is to gradually make yourself less essential to its daily operation.

But so do taxes, payment terms, working capital adjustments, vendor financing, earn-outs, restrictive covenants, indemnities and what happens to your employees and customers after the sale.

A strong succession plan asks a bigger question:
