"What I Learned About Finding the Right Customers (The Hard Way)"

The bar is my 2nd business in Bangkok, and when I first opened this bar, I thought I had a clear idea of who my customers would be.

At that time, host bars were quite popular, so I built the team around that idea, five male staff, thinking the place could be something in between a casual bar and a light “host-style” experience.

Not too much, just enough for people to sit, talk, maybe discuss work, and enjoy the atmosphere.

But things changed quickly. The trend didn’t last. And more importantly, not everyone actually enjoys that kind of environment.

In the second year, I had to adjust.
We tried to shift towards a younger crowd, students, and university groups, but somehow it didn’t really fit either.

The vibe of the place, the setup, even the feeling… it just didn’t match.

"That period was messy."

It felt like trying to force the business into a direction it didn’t naturally belong.

Then, towards the end of the second year, things started to change.

We found the right people. The atmosphere became more natural. And slowly, the customers started to shape themselves.

"Working people."
People who want a place to unwind after work.
Sit, have a drink, talk, and relax before going home.

Even now, I’m still learning. But it feels like things are becoming clearer.

One thing I’ve learned from this…

Things don’t always move in a straight line.

As a businessman, you can plan everything, concept, target, direction, and still find that reality goes another way.

Not because something is wrong.

But because some things take time to reveal their true nature.

Timing matters.
People matter.
And sometimes, pushing harder doesn’t help.

Understanding the flow does.

"Why Does a Business Consultant Also Run a Local Bar?"

A few people have asked me this question.

Because during the day, they often see me work with foreign entrepreneurs who want to start businesses in Thailand — helping them navigate company registration, visas, and the many details of doing business here.

But in the evening, they also see me run a small local bar in Pinklao.

Not a luxury rooftop bar.
Not a fancy cocktail lounge.

Just a relaxed neighbourhood place with good vibes and local prices.

The only reason is that, over time, I noticed something interesting.

Some of the best conversations about life, ideas, and business don’t happen in formal meeting rooms.

They happen in relaxed places where people feel comfortable enough to be themselves.

Sometimes strangers meet here.
Sometimes musicians appear unexpectedly.
Sometimes great ideas start over a drink.

In my bar, at the centre of the room, is a small stage we call **Central Stage**.

Anyone can walk up, grab the microphone, play guitar, sit at the piano, and perform.

No pressure. No auditions. Just people enjoying the night.

Sometimes someone sings so well that the entire bar stops and listens.

And when that happens, our staff might say:
“Okay… that performance deserves a drink discount.”

A moment like this is one of the small joys of running this place.

So yes — during the day, I help people build businesses in Thailand.

But at night, I run a small place where people can relax, sing, play music, and enjoy the moment.

And who knows…

"Living in Thailand but earning overseas?"

I speak to foreigners in Thailand almost every week, remote workers, consultants, investors, and business owners who came for a short stay and quietly turned it into a long-term life.

Most of them begin with the same assumption:

“My income is from overseas, so Thailand has nothing to do with it.”

It sounds reasonable. After all, if the money isn’t generated in Thailand, why would Thailand tax it?

The issue is that Thai tax law does not focus on where your company is registered or which passport you hold. It focuses on tax residency, and tax residency in Thailand is determined primarily by time.

If you stay in Thailand for 180 days or more within a calendar year (January–December), you may be considered a Thai tax resident. The days do not need to be consecutive. Every day spent in Thailand during that year is counted together.

Once you cross that threshold, the discussion changes.

It is no longer just about where your income originates. It becomes about how and when that foreign-sourced income is brought into Thailand.

Overseas salary, consulting income, dividends, capital gains, and trading profits are not automatically outside the Thai tax system simply because they arise abroad. If they are remitted into Thailand while you are a tax resident, they can potentially fall within the scope of Thai personal income tax.

This is where many people misunderstand their position.

"They handle their visa carefully."
"They structure their lifestyle thoughtfully."
"They open Thai bank accounts for convenience."

But they never fully assess their tax exposure. Money flows in month after month, yet there is no clear structure behind it.

In the short term, nothing may happen. Thai tax enforcement is not always immediate. But tax risk rarely appears dramatically; it accumulates quietly. If reviewed later, the Revenue Department has the authority to assess back taxes, apply surcharges, and impose penalties. Thailand is also moving toward greater international financial transparency.

I don’t frame this as fear. I frame it as alignment and clarity.

When your tax position is structured properly, you remove uncertainty. You strengthen your long-term stability here. A clear tax profile can support visa renewals, property purchases, and proper use of double taxation agreements. More importantly, it allows you to make decisions intentionally instead of relying on assumptions.

Thailand remains one of the most attractive places in the world to live. But if you are physically here long-term while earning abroad, your financial structure should reflect that reality.

The question is not whether Thailand is strict or relaxed.

The real question is simple:

Are you structured, or are you simply hoping nothing becomes an issue later?

ผมคุยกับชาวต่างชาติที่ใช้ชีวิตอยู่ในไทยแทบทุกสัปดาห์ ทั้งเจ้าของธุรกิจ ฟรีแลนซ์ นักลงทุน หรือคนที่ตั้งใจมาอยู่แค่ช่วงหนึ่งแล้วสุดท้ายกลายเป็นอยู่ยาว หลายคนมีความเข้าใจคล้ายกันคือ ถ้ารายได้ไม่ได้เกิดในประเทศไทย ก็น่าจะไม่ต้องเกี่ยวข้องกับระบบภาษีไทยมากนัก

ความคิดแบบนี้ฟังดูสมเหตุสมผลครับ แต่ในทางกฎหมายภาษี เรื่องไม่ได้ดูแค่แหล่งที่มาของเงิน สิ่งที่กฎหมายให้ความสำคัญมากกว่าคือ “สถานะผู้มีถิ่นที่อยู่ทางภาษี” ซึ่งพิจารณาจากระยะเวลาที่คุณอยู่ในประเทศไทย

หากคุณอยู่ในไทยรวมกันตั้งแต่ 180 วันขึ้นไปภายในปีปฏิทินเดียว (มกราคมถึงธันวาคม) ไม่จำเป็นต้องอยู่ต่อเนื่อง จะเข้าออกกี่ครั้งก็นับรวมทั้งหมด คุณอาจเข้าข่ายเป็นผู้มีถิ่นที่อยู่ทางภาษีของไทยโดยอัตโนมัติทันทีที่เกินเกณฑ์นั้น

และเมื่อสถานะเปลี่ยน วิธีคิดเรื่องภาษีก็ต้องเปลี่ยนตาม

ประเด็นจะไม่ใช่แค่ว่าเงินมาจากประเทศไหน แต่คือเงินนั้นถูกนำเข้ามาในประเทศไทยเมื่อไร และในช่วงเวลาที่คุณมีสถานะเป็น tax resident หรือไม่ เพราะเงินเดือนจากต่างประเทศ ค่าที่ปรึกษา เงินปันผล หรือกำไรจากการลงทุน แม้จะเกิดขึ้นนอกประเทศไทย ก็ไม่ได้หมายความว่าจะอยู่นอกระบบภาษีไทยโดยอัตโนมัติ หากมีการนำเงินเข้ามาใช้ในประเทศไทยในช่วงที่คุณมีสถานะเป็นผู้มีถิ่นที่อยู่ทางภาษี ก็อาจอยู่ในขอบเขตที่ต้องนำมาพิจารณาภาษีได้

สิ่งที่ผมเห็นบ่อยคือ หลายคนวางแผนเรื่องวีซ่าอย่างละเอียด จัดการชีวิตในไทยอย่างเป็นระบบ เปิดบัญชีธนาคารไว้เพื่อความสะดวก และโอนเงินเข้ามาใช้จ่ายเป็นประจำทุกเดือน แต่ไม่เคยหยุดประเมินโครงสร้างภาษีของตัวเองอย่างจริงจัง

ในระยะสั้นอาจดูเหมือนไม่มีอะไรเกิดขึ้น แต่เรื่องภาษีเป็นเรื่องที่สามารถตรวจสอบย้อนหลังได้เสมอ หากมีการประเมินภาษีย้อนหลัง ก็อาจตามมาด้วยเงินเพิ่มและเบี้ยปรับ ซึ่งหลายครั้งต้นเหตุไม่ได้มาจากการตั้งใจหลีกเลี่ยงภาษี แต่เกิดจากความเข้าใจที่คลาดเคลื่อนตั้งแต่ต้น

ผมไม่ได้พูดเรื่องนี้เพื่อให้ใครกังวล แต่เพื่อให้โครงสร้างทางการเงินสอดคล้องกับความเป็นจริงของการใช้ชีวิต หากคุณอยู่ในประเทศไทยระยะยาว แต่มีรายได้จากต่างประเทศ การจัดโครงสร้างให้ชัดตั้งแต่ต้นจะช่วยลดความไม่แน่นอนในอนาคตได้มาก

คำถามสำคัญจึงไม่ใช่ว่าไทยเข้มงวดหรือไม่เข้มงวด แต่คือคุณได้ตรวจสอบสถานะภาษีของตัวเองแล้วหรือยัง และเข้าใจผลของมันอย่างชัดเจนหรือยัง

"Can a Foreigner Use Their Girlfriend’s Bank Account to Buy a Condo in Thailand?" [ภาษาไทยด้านล่าง]

This is one of the most common and most dangerous mistakes I see.

Let me say this clearly: the answer is yes, but risky.

A foreign buyer finds a condo they like.
The deadline to transfer money is approaching.
The Thai girlfriend says, “I can transfer it for you first.”
Or sometimes the foreigner already moved money into her Thai account and uses that account to pay the developer.

It sounds practical.
It sounds fast.
It sounds harmless.

But legally, it can break the entire deal.

When a foreigner buys a condominium under the foreign quota in Thailand, the money must be transferred from overseas into Thailand. More importantly, the name on the Foreign Exchange Transaction (FET) must match exactly with the buyer’s name who will register ownership at the Land Office.

Not similar.
Not explained in the remarks.
Exactly the same.

The Land Office does not decide based on emotions or relationships. They decide based on documents.

If the funds come from another person’s account, even someone you trust completely, the ownership registration can be rejected.

And once that happens, you are in trouble.

You may need to re-transfer the entire amount again from overseas.
You may lose time and pay additional fees.
You may even lose the property if the developer cannot wait.

Before transferring millions of baht, make sure the structure is correct.

In Thailand, a small mistake on paper can become a very big problem.

"ชาวต่างชาติใช้บัญชีแฟนโอนเงินซื้อคอนโดแทนได้ไหม?"

เรื่องนี้เป็นหนึ่งในความผิดพลาดที่เจอบ่อย ตอบตามตรงนะครับ มันทำได้ แต่เสี่ยงมาก

เมื่อชาวต่างชาติหาห้องได้แล้ว และใกล้จะถึงวันโอนเงิน
แฟนคนไทยบอกว่า “เดี๋ยวโอนให้ก่อน” หรือบางคนโอนเงินเข้าบัญชีแฟนในไทยก่อน แล้วใช้บัญชีนั้นจ่ายค่าบ้าน

มันดูสะดวก
ดูไม่มีอะไร
ดูเหมือนช่วยกันธรรมดา ใช่ไหมครับ

แต่ในทางกฎหมาย มันอาจทำให้ทั้งดีลพังได้

ถ้าจะถือกรรมสิทธิ์คอนโดในโควตาต่างชาติ กฏหมายกำหนดไว้ว่าเงินต้องโอนมาจากต่างประเทศ และชื่อในเอกสาร FET ต้องตรงกับชื่อผู้ซื้อแบบเป๊ะ ๆ

"ไม่ใช่ใส่ชื่อในหมายเหตุ
ไม่ใช่บอกว่าเป็นแฟนกัน
แต่ต้องตรงกันในเอกสาร"

กรมที่ดินไม่ได้ดูความสัมพันธ์ของคนซื้อและผู้รับโอน เขาดูชื่อในกระดาษ

ถ้าเงินออกจากบัญชีคนอื่น แม้จะเป็นคนที่คุณไว้ใจที่สุด เจ้าหน้าที่มีสิทธิ์ปฏิเสธการโอนกรรมสิทธิ์ได้ทันที

นั่นแหละ จากเรื่องที่คิดว่าเล็ก จะกลายเป็นเรื่องใหญ่ได้ในชั่ววินาที

ดังนั้นก่อนโอนเงินหลักล้าน เช็กและทำให้ถูกตั้งแต่ต้น

ในประเทศไทย ความผิดพลาดเล็ก ๆ บนกระดาษ อาจกลายเป็นปัญหาใหญ่ได้....

"Can Foreigners register a company in Thailand?"

Yes, you can, and that part is not so difficult.

However, very few truly understand what they are building. Many people think company registration is the goal. But it isn’t:

"Registration is paperwork - Structure is Key, from Strategy"

Over the years, I’ve reviewed enough restructuring cases to notice the same pattern. A company is set up quickly, sometimes in a matter of weeks, and only later do the structural weaknesses begin to show.

- The shareholding ratio doesn’t support long-term control.
- The business objectives were drafted without thinking ahead.
- Tax exposure wasn’t carefully considered.
- Work permit expectations don’t align with the company structure.
- Capital requirements were misunderstood from the start.

None of these feels urgent in the beginning, and most founders don’t even realise there is an issue. But quietly, those early decisions start shaping everything: how you operate, how you scale, how immigration views you, and how tax authorities assess your business.

Most structural problems I see are not caused by bad intentions.
They happen because the setup phase was rushed, without stepping back to design it properly.

แต่สิ่งที่หลายคนยังไม่ทันได้คิด คือ “จริง ๆ แล้วกำลังสร้างอะไรอยู่”

หลายคนมองว่าการจดบริษัทคือเป้าหมาย แต่ความจริงแล้วมันเป็นแค่จุดเริ่มต้นเท่านั้น เพราะการจดทะเบียนคือขั้นตอนทางเอกสาร แต่สิ่งที่ทำให้บริษัทมั่นคง และมีความเสี่ยงหลังบ้านน้อยที่สุด คือโครงสร้างที่แน่นหนา ซึ่งต้องมาจากการวางกลยุทธ์ที่ดีต่างหาก

ตลอดเวลาที่ผมได้มีโอกาสเข้าไปดูเคสแก้โครงสร้างบริษัท สิ่งที่เห็นซ้ำ ๆ คือ บริษัทถูกตั้งขึ้นอย่างรวดเร็ว บางครั้งไม่กี่สัปดาห์ก็เสร็จ แต่ภายหลังปัญหาต่าง ๆ ที่ซ่อนอยู่ได้ค่อย ๆ โผล่ขึ้นมาให้เป็นประเด็นกวนใจ กวนเงินตลอดเวลา

- สัดส่วนผู้ถือหุ้นไม่เอื้อต่อการควบคุมในระยะยาว
- วัตถุประสงค์บริษัทเขียน แบบไม่ได้คิดเผื่ออนาคต
- การวางระบบภาษีไม่ได้ถูกประเมินให้รอบด้าน
- โครงสร้างบริษัทไม่สอดคล้องกับแผนขอ Work Permit ให้ตัวเอง หรือหุ้นส่วนชาวต่างชาติคนอื่น
- หรือแม้แต่เรื่องทุนจดทะเบียนก็เข้าใจคลาดเคลื่อนตั้งแต่ต้น

ของพวกนี้ ตอนเริ่มต้น มันไม่มีอะไรดูรุนแรงหรอกครับ เอาจริง ๆ หลายคนยังไม่รู้ด้วยซ้ำว่ามันจะกลายเป็นปัญหา

แต่การตัดสินใจเล็ก ๆ ในวันแรก มันจะค่อย ๆ ส่งผลต่อทุกอย่าง ทั้งการดำเนินงาน การขยายธุรกิจ มุมมองของหน่วยงานตรวจคนเข้าเมือง และการประเมินภาษีในอนาคต

ปัญหาโครงสร้างส่วนใหญ่ที่ผมเจอ ไม่ได้เกิดจากใครตั้งใจทำผิด แต่มักเกิดจากการรีบ “ตั้งให้เสร็จ” โดยไม่ได้หยุดคิดและออกแบบโครงสร้างขององค์กร ให้เหมาะกับแผนระยะยาวจริง ๆ

ถ้าคุณตั้งใจจะทำธุรกิจในประเทศไทยอย่างจริงจัง งานสำคัญที่สุดที่ผมอยากแนะนำคือ "การวางโครงสร้างให้ดี" และสิ่งนี้ควรเกิดขึ้นก่อนการตัดสินใจยื่นเอกสารเสียอีก เพราะถ้าวางฐานผิดตั้งแต่ต้น การแก้ไขทีหลัง มักซับซ้อนและมีต้นทุนสูงกว่าที่คิด

"ทำไมที่ปรึกษาด้านธุรกิจ... ถึงต้องเปิด 'ร้านเหล้า' ไปด้วย? Why does a Business Consultant... also run a 'Bar'?"

คนมักจะถามผมว่า เฮ้ Anderson (หรือพี่ป๋อ) ทำไมถึงเอาตัวไปวุ่นวายกับการเปิดร้าน Hertz (ร้านเหล้าเล็ก ๆ ของผม ตรงย่านปิ่นเกล้า แวะมาทักทายกันได้นะครับ) ทั้งที่งานที่ปรึกษาก็ล้นมืออยู่แล้ว? People often ask me, "Hey Anderson, why do you bother running Hertz (my little bar in the Pinklao area—feel free to drop by!) when you're already swamped with consulting work?"

คำตอบของผมสั้นๆ คือ: "เพราะผมไม่อยากเป็นที่ปรึกษาที่พูดแต่ทฤษฎี แต่ผมอยากเป็นที่ปรึกษาที่เจ็บจริง ทำจริง และแก้ปัญหาได้จริงครับ" My answer is simple: "Because I refuse to be a consultant who only talks theory.
