Omada Health Is Going Public—What Employees with Equity (Company Stock) Need to Know NOW! 🚨📈
Last week, Omada Health officially filed for a U.S. IPO—a major milestone that could be life-changing for employees with equity compensation.
If you have RSUs, stock options (ISOs or NSOs), or other forms of equity at Omada Health, this is an exciting moment—but it also comes with critical financial planning decisions.
📌 Although there’s no official listing date yet, NOW is the time to start planning!
If you work at Omada Health—or any company preparing to go public—here are some things to start thinking about:
1️⃣ Understand Your Equity 🤔
Before making any decisions, know what type of equity compensation you have and how it works. You most likely have one or a combination of:
✅ RSUs (Restricted Stock Units) – These typically vest at IPO, meaning you’ll suddenly own company stock—but that also means a potentially big tax bill.
✅ Stock Options (ISOs or NSOs) – Whether you have Incentive Stock Options (ISOs) or Non-Qualified Stock Options (NSOs), each type has different tax implications and strategic planning opportunities.
2️⃣ Start Planning NOW 💰
📌 RSUs & Taxes – When RSUs vest at IPO, Omada Health will likely withhold only 22% for federal taxes. But if you’re in a higher tax bracket, you could owe much more come tax time.
🔹 Check if Omada Health allows you to increase your tax withholding at IPO.
📌 Stock Options (ISOs & NSOs) – Now’s the time to evaluate whether to start (or continue) exercising before the IPO could reduce future tax liability.
🔹 Exercising when the stock price is lower could reduce AMT exposure (for ISOs) or ordinary income tax (for NSOs).
📌 Selling Shares & Diversification – Some companies allow employees to sell vested RSUs and/or exercised options at IPO.
🔹 Be sure to review Omada Health‘s IPO documents (once available) to see if this is an option.
🔹 Know your lock-up period—after IPO, there’s usually a waiting period before you can sell.
3️⃣ How to Plan 🏦
✅ Work with an Expert– Equity compensation is complex. An expert (CPA, financial advisor, etc.) can help you navigate tax strategies, option exercises, and selling decisions.
✅ Run Tax Projections – Estimate your tax liability now so you can plan for any tax-saving strategies before year-end and decide whether exercising stock options makes sense.
✅ Review Your Equity in Detail – Know exactly what you own, your vesting schedule, and potential tax implications.
✅ Request Omada Health’s IPO Documents (once available) – Read the fine print on your company’s lock-up period, tax withholding, etc.

An IPO can be a major financial milestone, but without proper planning, you could face big tax bills and missed opportunities.
