How to Properly Dissolve a Florida Business

If you’ve stopped operating your Florida business (or plan to soon), one question we hear all the time is:

“Do I need to formally shut it down?”

In many cases, the answer is yes.

Simply walking away from a business or ignoring an overdue Annual Report does not always fully close your company with the state.

If your business remains active on Florida state records, you may continue receiving annual report notices and compliance reminders over time. For many Florida businesses, missed filings can also lead to late fees, administrative dissolution later this year, or additional steps and costs if you decide to reinstate the business later.

A formal business dissolution is the process of officially closing your business with the state of Florida so there is a clear record that the company is no longer operating.

Due to rising fuel prices, the IRS standard mileage rate was recently increased to 76 cents per mile driven for business purposes (up from 72.5 cents). While the change was announced on July 13, 2026, it’s retroactively effective to July 1, 2026.

Use of this rate is optional for private employers, but it’s widely accepted as an easy and standard reimbursement rate for employees who use their personal vehicles for work.

Action Item
If your organization uses the IRS rate to calculate mileage reimbursement, update your systems to account for this change.

It’s less than a week until Tax Day, and millions of Americans have work to do.

As time dwindles, the Internal Revenue Service has received over 1 million fewer income-tax returns compared to the same point a year ago. April 15 is the last day to pay any owed income taxes; it’s also the last day to submit a return or file an extension before penalties and interest kick in.

Here’s motivation to get moving: The IRS is paying larger tax refunds this year, and issuing more of them compared to a year ago.
