IMPORTANT NOTICE: UPDATED COMPANY DIRECTOR AMENDMENT PROCESS

The Companies and Intellectual Property Commission (CIPC) is strengthening the company director amendment process to enhance security and prevent unauthorised changes to company records.

The updated process, released on 16 October 2026, will be implemented in phases. The first phase will apply to small companies where directors and shareholders are the same individuals.

Key changes include:
🔹 OTP verification by a majority of the board to confirm newly appointed directors within the prescribed timeframe.
🔹 Applications will be terminated if the required confirmations are not received within the stipulated period.
🔹 Enhanced ICT security measures and slight changes to the system’s look and feel.

These measures aim to protect companies’ interests and strengthen the integrity and accuracy of CIPC’s registers.

⚠️ Legal reminder: In terms of Section 214(1)(b) of the Companies Act, knowingly providing false or misleading information for fraudulent purposes constitutes an offence.
