From 1 October 2026, UAE businesses claiming input VAT will face new supplier and supply verification requirements.

Under FTA Decision No. 13 of 2026, businesses will need to carry out specific checks and keep evidence that they have done so. Additional verification also applies in certain cases, particularly for higher-value suppliers.

For many businesses, this means reviewing supplier onboarding, accounts payable procedures and the records kept to support input VAT claims.

UAE Small Business Relief has been extended.

The relief now covers Corporate Tax Periods ending on or before **31 December 2029**, instead of 31 December 2026.

Importantly, the amendment changed the end date only. The **AED 3,000,000 revenue threshold** and the other conditions still apply, and businesses must elect for the relief in their Corporate Tax return for each relevant Tax Period.

Before making the election, review your wider Corporate Tax position and whether Small Business Relief is actually the best option for your business.

The FTA has clarified how UAE businesses should handle downward transfer pricing adjustments under Public Clarification CTP011.

These adjustments may arise when Related Party transactions recorded in the accounts are not at arm’s length and correcting them in the Corporate Tax Return reduces Taxable Income.

No prior FTA approval is required. However, all affected Related Party transactions must be disclosed, regardless of their value or nature, and the adjustment should be supported by benchmarking, reconciliation to the accounts, and evidence of a matching adjustment.

If your family holds wealth through a UAE foundation, holding company, or family office structure, this is an important Corporate Tax point to understand.

The FTA’s updated guidance confirms that a juridical family foundation may be treated as fiscally transparent where the relevant conditions are met and approval is obtained where required.

But the operating family office inside the structure is treated differently.

If it manages assets, charges fees, or earns income, it may still be subject to Corporate Tax on that income.

In other words, transparency at the top of the structure does not automatically make the family office tax-free.

Strong records are still one of your best protections. The UAE's main contract law has just changed

The new Civil Transactions Law (Federal Decree-Law No. 25 of 2025) replaced the 1985 law on 1 June 2026.

It is a modernisation, not a demolition: the structure is familiar, but there is a stronger focus on conduct, disclosure, and evidence.

For finance teams and business owners, that shift is practical, not just legal:

→ Good faith now starts before you sign. Information that is essential to a deal should be disclosed clearly, and a contract clause may not protect you if something important was hidden.

→ Old receivables can become harder to enforce. The longer an invoice sits unpaid, the more your clear records, documented follow-up, and timely action matter.

→ Courts can step into unbalanced deals, where contract wording, commercial behaviour, and supporting records all count.

One question:

Are your contracts, invoices, accounting records, tax files, and receivables clean enough to support the position you are taking?

An unpaid invoice, disputed scope, informal approval, set-off, write-off, or related-party recharge all need evidence. Not just a signature.

But your business structure is not only a licensing decision. It can also be a tax decision.

The structure you choose can affect who is taxed, when obligations begin, whether incentives actually apply, and how owner payments or group transactions are treated.

UAE founders: your LLC does not necessarily have to treat all partners the same way anymore.

The updated Companies Law allows LLC shares to be split into different classes, with each class carrying its own rights. This can be useful for founder control, investor protections, family succession planning, joint venture governance, and other ownership arrangements.

It is a meaningful structuring tool, but only when the share classes are properly documented in the Memorandum of Association and recorded in the Trade Register.
