2️⃣ It's now a corporate expense, not a personal one β€” you can't claim it on your own return anymore, but it still benefits you by reducing the corporation's income.

Reality: Common shares usually vote and may get dividends. Preferred shares don't usually vote, but get paid first if the company is profitable.
Here's why this matters more than people think: your share structure gets set up when you first incorporate β€” and it's not something you casually change later. If you ever want to bring on a business partner, take on an investor, or set up an estate/tax planning structure down the road, the share classes available in your corporation determine what's actually possible.
Set it up with only one basic share class, and expanding later can mean amending your articles, more legal fees, and more complexity than if it had been built in from the start. This is exactly the kind of thing worth getting right the first time, with proper guidance β€” not something to default on just to get incorporation done quickly.

Myth: "I own shares, so I'm automatically a director." πŸ‘”
Reality: Shareholders own the company. Directors β€” President, Treasurer β€” run it and protect shareholders' interests. Different roles, even if it's just you wearing both hats in your own business.
Here's the part people don't expect: you don't even need to own shares to become a director. Directors are appointed β€” through the incorporation documents when the company is set up, or by shareholder vote afterward. You could be a director of someone else's corporation entirely, with zero ownership stake in it.
And that's exactly why this matters. If someone asks you to be a director of their business β€” a friend's company, a family member's, anything β€” think carefully before saying yes. Remember what we covered earlier in this series: directors can carry real personal liability, for things like unpaid wages or unremitted payroll taxes. Being a director isn't just a title on a document. It's real responsibility, even if you don't own a single share.

Myth: "My business and I are the same, tax-wise." πŸͺͺ
Reality: That was true as a sole proprietor β€” your SIN and your business were basically linked in CRA's eyes. But once you incorporate, your corporation becomes a separate legal entity. Not just on paper β€” in how CRA actually treats it.
That means your corporation gets its own CRA number, entirely separate from your SIN. It gets registered for its own HST and payroll programs if those apply. And it files its own tax return, reports its own income, and has its own filing deadlines β€” completely apart from your personal tax return.
This isn't instead of your personal taxes. It's in addition to them. You're now managing two separate tax relationships with CRA under one roof: yours, and your corporation's.
