🌍 Vous quittez la France ? Avez-vous pensé à l’EXIT TAX ?
Un départ à l’étranger, notamment vers les 🇺🇸 États-Unis, doit être préparé bien avant le changement de résidence fiscale.
L’Exit Tax (article 167 bis du CGI) peut concerner les entrepreneurs, dirigeants et investisseurs qui détiennent des participations importantes au moment de leur départ de France.
🔎 Parmi les points essentiels à anticiper :
✅ Résidence fiscale en France pendant au moins 6 des 10 dernières années
✅ Participations représentant au moins 50 % des bénéfices d’une société OU portefeuille de titres dépassant 800 000 €
✅ Taxation des plus-values latentes
✅ Prélèvements sociaux : 18,6 % en 2026
✅ Possibilité, dans de nombreux cas, d'un sursis de paiement
✅ Dégrèvement possible après 2 ou 5 ans, sous conditions
⚠️ Attention aux plus-values en report d’imposition, notamment 150-0 B ter
💡 Une Exit Tax calculée au moment du départ ne signifie donc pas nécessairement un impôt à payer immédiatement.
La date du départ, la valorisation de l’entreprise, la structure de détention et surtout les opérations envisagées après l'expatriation peuvent considérablement modifier le résultat.

Moving abroad — particularly to the 🇺🇸 United States — should be planned well before changing your tax residency.
The French Exit Tax (Article 167 bis of the French Tax Code) may apply to entrepreneurs, business owners and investors holding significant equity interests when leaving France.
🔎 Some of the key issues to consider:
✅ French tax residency for at least 6 of the previous 10 years
✅ Ownership of 50% or more of a company's profits OR securities with an aggregate value exceeding €800,000
✅ Taxation of unrealized capital gains
✅ French social contributions: 18.6% in 2026
✅ In many situations, payment of the Exit Tax may be deferred
✅ Potential cancellation of the tax after 2 or 5 years, subject to conditions
⚠️ Special attention must be given to capital gains already under tax deferral, including French Article 150-0 B ter transactions.
💡 An Exit Tax liability calculated when leaving France does not necessarily mean that the tax must be paid immediately.
The departure date, company valuation, ownership structure and — most importantly — what you plan to do with your shares after moving abroad can dramatically affect the final tax outcome.
