Has your voluntary board ever got really bogged down in the minor detail?

I mean when you should be focusing on bigger issues and challenges.

Often I think this is because many board members can’t easily distinguish between their strategic role and the operational responsibilities that they should delegate to senior staff.

I appreciate if you are in a very small charities with little or no staff, this is a particular problem. Although governance principles still require you to distinguish your board responsibilities from your responsibilities as volunteers “on the ground”.

In my dealings with boards, I’ve seen some spend a lot of time on minor operational issues because they’re in their comfort zone, or because it’s a subject or issue close to their heart. Like the colour of the railings around the car park.

And this affects the board’s effectiveness.

So, what’s the solution?

While there is no magic wand, there are a few steps a board can take to re-focus on the longer term:

👉 Develop a 3-5 year strategic plan, incorporate milestones and Key Performance Indicators (KPIs) and add it to the board agenda at least quarterly so the longer-term stays in focus
👉 Distinguish between board and senior management functions and responsibilities with (a) clear role profiles for board members and key post holders that maximise strategic issues and (b) a Scheme of Delegation & Matters Reserved for the Board that splits responsibilities clearly
👉Ensure that board meeting agenda items don’t include operational matters unless they are material and require oversight, discussion and action (and avoid AOB where possible as that often opens a can of worms that drags everyone into the weeds!)

While you and your board can take specific steps to refocus on strategic vs operational issues, there are overlapping issues that could be easily addressed and improved at the same time.

So, consider stepping back as a board and adopting a more holistic approach to reviewing board effectiveness and good governance across your organisation.

What is it about the word "tax" that fills people with a sense of dread and panic?

Especially those who are venturing into self-employment for the very first time.

Business taxes; registration; self-assessment returns; allowable expenses; tax deadlines; fines; penalties.... and so on.

It's a lot to take in while you're trying to navigate your start-up through your first sales; supplies; costs; websites; social media; marketing; logistics and all the rest.....

It can be a minefield.

And you can easily react by doing the ostrich thing and burying your head in the sand.

But it doesn't have to be like that.

I've been working with business start-ups for over 30 years.

And I still firmly believe that the best approach is to recognise and accept your lack of knowledge. Then seek support if it's not your speciality. Or if you don't know where to start.

Anything is better than ignoring it until it becomes a problem.
