βš–οΈ Does your business operate as a Limited Liability Partnership (LLP)?

A recent UK Supreme Court ruling has clarified how the LLP salaried member rules should be interpreted, and it could have important tax implications for many LLPs.

The Court confirmed that only legally enforceable rights and duties set out in an LLP agreement count when determining whether a member has significant influence over the business.

This means that informal influence, seniority, experience, or strong working relationships alone are not enough.

Why does this matter?

If an LLP member meets all three salaried member conditions, they may be treated as an employee for Income Tax and National Insurance purposes, rather than as self-employed.

The three key tests are:
βœ… Most of the member's income is disguised salary
βœ… They do not have significant legally enforceable influence over the LLP
βœ… Their capital contribution is less than 25% of their disguised salary

This decision could affect professional practices, investment firms, and many other businesses operating as LLPs.

🚨 Could Direct Debit become mandatory for VAT and PAYE payments?

The UK Government is consulting on proposals that could require most VAT-registered businesses and employers to pay their VAT and PAYE liabilities by Direct Debit.

The aim is to reduce late payments and make the tax payment process simpler and more accurate.

If introduced, the proposals could:
βœ… Simplify VAT and PAYE payments
βœ… Reduce missed payment deadlines
βœ… Improve payment accuracy
βœ… Help businesses avoid unnecessary penalties

The consultation is also seeking views on:
β€’ Why some businesses prefer other payment methods
β€’ Possible exemptions from the new rules
β€’ Penalties for businesses that fail to comply

⚠️ No changes have been confirmed yet, but it's important to stay informed and be prepared for any future HMRC requirements.

πŸ“… The consultation closes on 16 August 2026.

πŸ“’ Payroll changes are coming – is your business ready?

HMRC has confirmed that mandatory payrolling of Benefits in Kind (BiKs) will be introduced in two phases, giving employers more time to prepare.

Key changes include:
βœ… Reporting taxable benefits through payroll
βœ… Deducting Income Tax in real time
βœ… Applying Class 1A National Insurance through payroll

Planning ahead now can help you avoid compliance issues and ensure a smooth transition when the new rules take effect.

🚨 Major Companies House changes are coming for UK businesses from April 2028, and every company needs to be aware.

New rules will significantly change how annual accounts are prepared and filed, including mandatory digital filing, new reporting requirements, and changes to what information is published publicly.

While the reforms aim to improve transparency and reduce economic crime, they also mean businesses will need to update their accounting processes, software, and compliance approach well in advance.

Now is the time to start preparing, not in 2028.
