"有限公司個名結尾係咪一定要加「Limited」？
根據《公司條例》（Cap. 622），每間註冊嘅有限公司都必須加「Limited」或者「Ltd.」喺公司名結尾。
如果公司淨係得英文名 - 公司名結尾必須係「Limited」
如果公司淨係得中文名 - 公司名結尾必須係「有限公司」
如果公司同時有中英文名 - 必須同時符合以上兩個條件

咁做主要係為咗：
1.明確法律責任：加上「Limited」可以保護股東個人資產，因為佢哋只需對公司未支付嘅股份負責。
2.增加透明度：讓公眾清楚知道公司類型，避免混淆。
3.防止混淆：香港有唔同類型嘅公司，加上「Limited」可以避免誤解。

不過, 如果某個組織符合特定條件，處長可以批准佢哋唔加「Limited」或「有限公司」。例如，呢啲組織為推動商業、藝術、科學、宗教、慈善等目標而成立，佢哋會將利潤用於促進目標，並唔會支付股息。

有限公司董事點樣可以出糧畀自己? 💰
要喺公司嘅戶口攞錢，要經過適當程序，有四個方法包括：
1️⃣ 所得稅預扣制：就好似普通員工咁，定期收薪，仲可以參加退休計劃！
2️⃣ 股息：如果你係股東，喺公司有利潤嘅情況下可以發放股息，仲可以免稅！
3️⃣ 董事貸款：快速取錢，但要小心管理，記得要有正確記錄！
4️⃣ 董事酬金：對於董事提供嘅服務，仲要經股東同意先可以支付！

"💼 創業者必知：有限公司每年開支 💼

創立咗有限公司之後，除咗日常運營開支，仲有啲固定年度費用要考慮：

1️⃣ 公司秘書費：每年要請個公司秘書，費用大約$1,500至$3,000港元。
2️⃣ 商業登記費(或續證費用）：1年 - $2200港元，3年 - $5870港元。
3️⃣ 周年申報表費用: $105 (42日內)
4️⃣ 會計同審計費：搵會計師幫你核數同做財務報表，呢個可能要$5,000至$20,000港元，視乎你生意嘅大小。
5️⃣ 利得稅報稅: 首200萬港元嘅利潤，稅率為8.25%，往後應評税利潤為16.5%。
6️⃣ 其他開支：例如法律顧問費、辦公室開支等等，根據你嘅需求而定。

有限公司 vs 無限公司：邊個比較適合創業新手？
🔍 喺選擇公司類型嘅時候，了解佢哋嘅特點非常重要！以下係兩者嘅主要區別：

有限公司 - Limited Company
股東嘅責任有限，僅限於佢嘅出資額，個人資產受到保護
屬於法人組織，具有獨立嘅法律地位。
可由1至50名股東組成
需遵守嚴格嘅法規，包括年度報告同審計，確保透明度。
企業利潤需繳納利得稅。首200萬港元嘅利潤，稅率為8.25%，往後嘅應評税利潤為16.5%。

無限公司 - Unlimited Company
股東需對公司所有債務承擔無限責任，個人資產可能面臨風險
冇法人地位
獨資企業嘅股東人數係 1 人，合夥企業則為 2-10 名
法規要求較少，只係需要維持基本記錄。
個人股東需根據個人收入稅率繳稅，相同金額下，無限公司嘅應評税利潤為7.5%，其後15%。

邊個比較適合創業新手？
對於創業新手嚟講，選擇有限公司或無限公司主要取決於業務嘅性質同風險承受能力。

無限公司嘅成立及維持手續較少，無需要提交公司註冊表格，而且唔需要請會計師核數，因為咁開設成本較低，非常適合小本經營嘅小生意。
但係，無限公司嘅東主需要承擔無限債務責任，如果公司出現財務問題，個人財產都可能受到影響，風險較高。

有限公司嘅成本相對較高，需要委任公司秘書，並每年要搵會計師核數同製作財務報表，此外仲需要支付商業登記費及公司註冊費。但係有限公司為股東提供咗更大嘅保障，因為佢嘅債務責任有限，即使公司清盤，個人財產都唔會受到損害。因此，有限公司更適合資金周轉大、未來有可能吸引其他投資者嘅業務。

🚀 創業新手，注意！
你知道嗎？會計錯誤可能會讓你的業務付出沉重代價！這裡有六大常見錯誤，幫助你避免受罰和賠款，確保財務健康！

1️⃣ 過於專注於營運，忽略定時作簿記
定期更新帳目是確保財務健康的關鍵。許多創業者因忙於日常運營而忽略了這一點，結果導致帳目混亂，影響決策。

2️⃣ 公私不分，把個人交易與公司交易混合
將個人和公司開支混合會造成記錄不清，影響稅務申報。開設獨立的商業賬戶是明智之舉。

3️⃣ 未有對開支及成本，特別是小額帳目詳細紀錄
忽略小額交易可能會累積成大問題，影響對整體開支的管理。每一筆開支都應詳細記錄，以便未來分析。

4️⃣ 錯把公司現金流視作盈利
現金流和盈利是不同的概念。誤將現金流視為盈利可能導致錯誤的業務判斷，甚至引發債務問題。

5️⃣ 未有使用會計軟件，以至未有把資料跟收據備份
手動記帳容易出錯，且缺乏備份會增加風險。使用會計軟件可提高效率，同時確保資料安全。

6️⃣ 不尋求專業幫助
雖然會計軟件能簡化流程，但仍需要專業會計師的指導，特別是在分析和預測方面。
