As per the Companies Act, 2013, every company (except listed ones) must report significant beneficial ownership through Form BEN-2!

✅ Who should file?
Any company where an individual holds:
🔹 10% or more shares
🔹 Indirect ownership through other entities
🔹 Significant control or influence

🕒 Due Date: Within 30 days of receiving Form BEN-1 from the beneficial owner.
💼 Non-filing = Heavy penalties!

🧾 Related Party Transactions (RPTs) under Companies Act, 2013
A Related Party Transaction is a deal or arrangement between a company and its related party which may affect the interest of the company or its shareholders.

🔹 Who is a Related Party? (Section 2(76))
• Directors & their relatives
• Key Managerial Personnel (KMP)
• Holding, Subsidiary, or Associate Companies
• Entities in which directors/KMPs hold substantial interest

🔹 Examples of RPTs:
• Sale or purchase of goods
• Leasing of property
• Availing or rendering services
• Appointment to office of profit

🔹 Approval Required (Section 188):
✅ Board approval is mandatory for all RPTs
✅ Shareholder approval (special resolution) required if transactions cross prescribed limits under Rule 15

🔹 Penalties for Non-Compliance:
• Transaction can be declared void
• Directors can be held personally liable
• Fines on company and officers

📌 Tip: RPTs must be disclosed in Board Reports and Financial Statements.
✔ Transparency + Prior Approval = Compliance!
