Chapter 2 Unit 7 – Contract of Indemnity & Guarantee πŸ“šβš–οΈ

1. Contract of Indemnity (Sec. 124–125): Focuses on making good the loss caused by the promisor or another person. Involves 2 parties: Indemnifier & Indemnity Holder.

2. Contract of Guarantee (Sec. 126): A tripartite agreement (3 contracts) involving 3 parties: Surety, Principal Debtor, and Creditor. The surety promises to discharge liability upon default.

3. Essentials of Guarantee: Requires a recoverable principal debt, valid consideration, enforceable liability, no misrepresentation or concealment, and fulfilling co-surety conditions if stipulated.

4. Specific vs. Continuing Guarantee (Sec. 129): Specific covers a single transaction, while continuing covers a series of transactions until revoked.

Key Difference: Indemnity has 2 parties and primary liability; Guarantee has 3 parties and secondary liability.

5. Surety’s Liability (Sec. 128): Co-extensive with the principal debtor unless provided otherwise.

🚨 EXAM TRAP: Although the surety's liability is secondary, the creditor is NOT required to sue the principal debtor first!

- One of the important things to understand is the difference between price and value.
