Strike-off vs Winding-up:
Sdn Bhd vs PLT (Malaysia)

Many people think closing a company or PLT is the same.
👉 It is NOT.

Let us explain simply.

🔹 1️⃣ Strike-off – for Sdn Bhd ONLY
A Sdn Bhd may apply for strike-off if:
No business activity
No assets or liabilities
No outstanding tax, EPF, SOCSO, SST
Clean compliance record
📌 Strike-off is an administrative removal by SSM.
📌 It is NOT available for PLT.

🔹 2️⃣ PLT cannot be strike-off ❌
A PLT (Limited Liability Partnership)
👉 CANNOT be closed via strike-off
Under Malaysian law, a PLT must be closed through:
✅ Proper Winding-Up
This is a legal process, not just filing a form.

🔹 3️⃣ What is Winding-up of a PLT?
Winding-up means:
Formally closing the PLT
Settling all debts & obligations
Distributing remaining assets (if any)
Legally ending the partnership
This protects:
✔ Partners
✔ Creditors
✔ Future legal risk

📌 Each step must be done in the correct order.

❌ Partners may remain legally exposed
