Considerations When Buying A Business:

Buying a business has many pitfalls that could potentially cost a buyer significant unexpected costs.
Getting a professional business valuation done is a critical step in the buying and selling process to determine:

Seller: a fair and realistic sale price
Buyer: if the asking price is fair and realistic
The GST implications (is GST being charged or not?)
The income tax implications (has this been accounted for?)

We had a recent case whereby the profits of the business which a client wanted to invest in was looking very good, but they forgot to account for company taxation of 28%. The seller’s asking price was
$900,000. After we met with the buyer and explained that we also need to account for taxation in the valuation, the buyer made an offer to the seller of $650,000, which was accepted, giving a saving of $250,000.

Investment Boost allows businesses to claim 20% deductions for the costs of new (or new to New Zealand) business assets, acquired on or after 22 May 2025.

Examples of depreciable business assets include new commercial and industrial buildings, machinery, technology, equipment and work vehicles.

Key Dates for January 2026:

15 January 2026 - Provisional tax payments are due if you have a March balance date and use the standard, estimate or ratio options.

15 January 2026 - GST return and payment due for the taxable period ending 30 November.

28 January 2026 - GST return and payment due for the taxable period ending 31 December.

Entertainment & Gifts:

100% deductible:
• Meals while travelling for business (unless with an existing or potential client)
• Food at conferences lasting 4+ hours
• Public promotional events
• Non-food gifts

50% deductible:
• Client lunches
• After-work drinks
• Staff Christmas parties
• Wine hampers, chocolates, or gifts that include food or drink

Very important: Keep record and notes whether expenses relate to food/drink or non-food items. That small detail can make a huge difference at tax time.
