For corporations with a fiscal year ending December 31, 2025, the filing dates are based on the last digit of your SEC registration or license number:

All pending eLAs for the same taxpayer and year will be consolidated into one replacement eLA.

• Feb 16, 2026: Deadline for non-consolidation requests (VAT).

PUBLIC ADVISORY: BIR Launches LOA Verifier via Chatbot REVIE

Heads up, taxpayers! With the return of BIR audits, the Bureau of Internal Revenue (BIR) has launched a new feature to protect you from unauthorized examinations.

Introducing the Letter of Authority (LOA) Verifier available through the BIR’s Chatbot REVIE!

What is this for?

This new tool allows you to quickly and easily verify the authenticity of any LOA you receive. It’s a crucial step to ensure you are dealing with legitimate BIR representatives.

How to Use the LOA Verifier:

1. Go to the BIR website (www.bir.gov.ph) and open the Chatbot REVIE.
2. Select “LOA Verifier” from the menu.
3. Enter your Taxpayer Name, TIN, and the LOA Case Number found on the document.
4. Submit and get an instant result!

What if the LOA is “NOT FOUND”?
If the chatbot can’t find your LOA, don’t worry! You can request manual verification by sending an email with a copy of the LOA to [email protected]. The BIR Assessment Service will validate it and respond within three (3) working days.

This initiative enhances transparency and provides a secure way for taxpayers to confirm audit activities. Stay informed and protected!

ATTENTION: Important Update for Corporations from the SEC!

The Securities and Exchange Commission (SEC) has released Memorandum Circular No. 6, Series of 2026, which expands the use of a notarized Subscription Contract for companies increasing their capital stock.

Here are the key takeaways:

Simplified Capital Increases

The previous P50 Million threshold for paid-up capital increases has been REMOVED. Now, corporations can submit a notarized Subscription Contract instead of a Special Audit Report for cash subscriptions, regardless of the amount. This simplifies the process for increasing authorized capital stock.

What does this mean for you?

For most private corporations, this change streamlines the process of infusing more capital, making it faster and more efficient. Instead of a costly and time-consuming special audit, a simple notarized contract will suffice.

Who still needs a Special Audit Report?

The requirement for a Special Audit Report still applies to:
• Listed companies
• Public companies
• Companies that offer or sell securities to the public
• Companies with secondary licenses
