The Bureau of Internal Revenue (BIR) has just released Revenue Memorandum Circular No. 91‑2025, and it’s bringing a welcome change to business registration requirements.

🔍 What’s New in RMC 91-2025?

Before: Only a duly appointed Corporate Secretary could sign Secretary’s Certificate for registration.
Now: The BIR will also accept Board Resolution and Secretary’s Certificate signed by an Assistant Corporate Secretary!

✅ As per BIR Revenue Memorandum Circular (RMC) No. 3-2023, you only need to register a new set of books before the consumption of the pages of the previously registered books — NOT ANNUALLY.

Make sure to register a new book before your existing one is fully consumed to stay compliant and avoid penalties.
