LOAN FOR BUSINESSES LAUNCHED, UP TO ₱20 MILLION, WITH GRACE PERIOD PA!

The Department of Trade and Industry (DTI) has launched the MSME Business Fund, a loan program aimed at helping micro, small, and medium enterprises (MSMEs) affected by the ongoing crisis in the Middle East.

According to Ma. Cristina Roque, qualified businesses can borrow from ₱30,000 to ₱20 million, depending on the size and need of their operations. The program aims to help entrepreneurs retain their business, expand operations, and recover from the impact of the global situation.

BENEFITS OF THE PROGRAM:
√There are up to 5 years to repay the loan
√There is 1 year grace period for principal and interest
√No collateral needed for a loan of up to ₱5 million

DTI pointed out that this program is part of the broader step of the government to support the local economy and protect the livelihoods of millions of Filipinos who rely on MSMEs.

√Business picture
√Corporate documents (for corporations)

The Bureau of Internal Revenue (BIR) has recently issued Revenue Memorandum Circular (RMC No. 30-2026) announcing the extension of the deadline for the filing of 2025 Annual Income Tax Returns and payment of the corresponding taxes due thereon, including submission of required attachments.

This is in view of the issuance of Executive Order No. 110, s. 2026, declaring a State of National Energy Emergency and Authorizing the Unified Package for Livelihoods, lndustry, Food, and Transport, and in order to give taxpayers additional time to properly file their 2025 Annual lncome Tax Returns, pay the corresponding taxes due thereon, and submit the required attachments without the imposition of penalties, particularly at a time when the effects of rising oil prices are being felt.

This Circular is hereby issued to extend the deadline for such filing, payment, and submission from April 15 to May 15, 2026.

SEC ADVISORY – Increase of Capital Stock for One Person Corporations (OPC)

Please be informed that effective March 16, 2026, the Securities and Exchange Commission (SEC) has included the Increase of Authorized Capital Stock (ACS) with cash payment for One Person Corporations (Filipino-owned) under the Simple Processing Lane through the eAMEND System.

This means that OPCs intending to increase their capital stock and paying in cash may now benefit from faster and simplified processing, including the issuance of digital certificates upon approval.

Clients who are planning capital infusion, expansion, compliance updating, or restructuring of capitalization are encouraged to coordinate with our office so we can assess eligibility, prepare the documentary requirements, and facilitate the online filing to avoid delays or penalties.

The Securities and Exchange Commission (SEC) is preparing new guidelines that will allow paperless filing for specific amendment applications through the Electronic Application for Modification of Entity Data (eAMEND), as it seeks to improve regulatory efficiency and promote sustainability.

The Commission on March 31 issued for public comment the draft memorandum circular providing for the guidelines on the implementation of paperless filing for select amendment applications through eAMEND, further advancing the Commission’s digital transformation and sustainability push.

The proposed rule will supplement SEC Memorandum Circular No. 3, Series of 2024, and SEC Memorandum Circular No. 3, Series of 2026, which prescribe the guidelines on the use of the eAMEND portal.

Under the draft guidelines, paperless filing will be offered as an optional processing lane. Corporations may still opt to file through the Simple or Regular processing lanes, which require the submission of hard copies of the amendment documents.

Paperless filing will cover amendments to both the Articles of Incorporation (AOI) and By-Laws. For AOI, the covered amendments include Prefatory Clause, Change in the Principal Office Address, Term of Existence, Increase or Decrease in the Number of the Board of Directors/Trustees, and Fiscal Year for One Person Corporations.

For By-Laws, covered amendments include the Date of Annual Meeting of the Stockholders/Members, and Fiscal Year.
