BENEFICIAL OWNERSHIP TIPS

The Companies (Beneficial Ownership) Regulations, 2023 requires a company incorporated in Tanzania to submit to the Registrar (BRELA) particulars of its beneficial owners.

What's a Beneficial owner?

Beneficial owner means a natural person-
a. who directly or indirectly ultimately owns or exercises substantial control over an entity or an arrangement;

b. who has a substantial economic interest in or receives substantial economic benefit from an entity or an arrangement directly or indirectly whether acting alone or together with other persons

c. on whose behalf an arrangement is conducted; or

d. who exercises significant control or influence over a person or arrangement through a formal or informal agreement;

A person who fails to keep record of beneficial owners, fails to provide information to the Registrar about change in beneficial ownership of a company and fails to provide the Registrar with a declaration containing information on the beneficial owners of the company commits an offence and on conviction shall be liable to a fine of not less than five million shillings but not exceeding ten million shillings.

TAX EDUCATION:

Skills and Development Levy (SDL) is a levy imposed under Section 14 of the Vocation Education Training Act, Cap. 82 and collected by Tanzania Revenue Authority.

SDL is charged based on the gross emolument of all payments made by the employer to the employees. SDL is due and payable by an employer.

Any employer who employs ten or more employees shall be liable to pay SDL at a rate of 3.5% of the total emoluments paid to all employees during the month.

The employee includes permanent employees, part time employees, secondary employees, casual laborers etc.

TAX EDUCATION: Treatment of Contribution made to Approved Retirement Fund When Calculating PAYE.

The amounts of contributions made by employee/employer to the approved retirement funds are reduced from the gross pay when calculating the PAYE.

The amount of this reduction is equal to the lower of;

1. The total of the employee; or employer contributions where it is included in calculating the monthly pay made to approved retirement funds; and

2. The statutory amount of the fund.
