Finding the Corporate Transparency Act “likely unconstitutional,” a federal district court prohibited its enforcement and the enforcement of its accompanying regulations.

Did you know that if you own 25% or more of an LLC or Corporation there is a new filing requirement under the Corporate Transparency Act that is due by December 31, 2024.

As a 25% owner you are considered a beneficial owner and must file a BOI (beneficial owner Information) report Financial Criminal Enforcement Network) by the due date.

It is a onetime filing (until changes in ownership), pretty easy to file, it’s free, but the penalties are very steep ($591.00/day) for failure to file and extremely steep for willful failure to file.

These days this probably sounds like a scam but it is not.

We suggest ONLY using the fincen.gov web address (posted in comments) as others charge and of course there are scammers out there. Anyone can file this for you or you can do it yourself.
