FinCEN issues IFR removing the requirement for U.S. companies and U.S. persons to report BOI
(Issued By FinCEN 3/21/25)
Consistent with the U.S. Department of the Treasury’s March 2, 2025 announcement, the Financial Crimes Enforcement Network (FinCEN) is issuing an interim final rule that removes the requirement for U.S. companies and U.S. persons to report beneficial ownership information (BOI) to FinCEN under the Corporate Transparency Act.
In that interim final rule, FinCEN revises the definition of “reporting company” in its implementing regulations to mean only those entities that are formed under the law of a foreign country and that have registered to do business in any U.S. State or Tribal jurisdiction by the filing of a document with a secretary of state or similar office (formerly known as “foreign reporting companies”). FinCEN also exempts entities previously known as “domestic reporting companies” from BOI reporting requirements.
Thus, through this interim final rule, all entities created in the United States — including those previously known as “domestic reporting companies” — and their beneficial owners will be exempt from the requirement to report BOI to FinCEN. Foreign entities that meet the new definition of a “reporting company” and do not qualify for an exemption from the reporting requirements must report their BOI to FinCEN under new deadlines, detailed below. These foreign entities, however, will not be required to report any U.S. persons as beneficial owners, and U.S. persons will not be required to report BOI with respect to any such entity for which they are a beneficial owner.
Upon the publication of the interim final rule, the following deadlines apply for foreign entities that are reporting companies:
• Reporting companies registered to do business in the United States before the date of publication of the IFR must file BOI reports no later than 30 days from that date.
• Reporting companies registered to do business in the United States on or after the date of publication of the IFR have 30 calendar days to file an initial BOI report after receiving notice that their registration is effective.
FinCEN is accepting comments on this interim final rule and intends to finalize the rule this year

FinCEN's Beneficial Ownership Information (BOI) Reports:
It is true, most small business owners are required to report information about their beneficial owners to the Financial Crimes Enforcement Network (FinCEN). The Corporate Transparency Act was passed by Congress as part of the 2021 National Defense Authorization Act. Corporations, including S corporations, LLCs, and other entities formed through the Secretary of State must file. The filing deadline is 12/31/2024. The www.fincen.gov website has the link to BOI reporting for you to register your business. Our firm will offer this filing service if any business owner needs our assistance with registration. 337-463-4613

As I step into my 34th tax season, I just realized I missed posting a milestone celebration. I was awarded my Society of Louisiana CPAs 25-yr Membership pin at the Lake Charles Chapter meeting in December at Pats of Henderson. I still love what I do, maybe not the long hours but the job is still a solid yes.

TAX PREPARERS WILL NEED THE FOLLOWING INFORMATION TO FILE YOUR 2021 RETURN: The IRS will send Letter 6419 about the 2021 advance Child Tax Credit and Letter 6475 about the third stimulus payment. The Letter 6419 will include the total amount of advance CTC payments taxpayers received in 2021 and the number of qualifying children used to calculate the advance payments. Taxpayers will be required to have this information to file their 2021 tax returns to verify they received the correct amounts.

This has been the most unusual tax season of my 30 year career. The last three weeks we have been treading in new territory with snail pace guidance and there have not been enough hours in the day due to the CARE Act SBA program, and we aren't done yet. I want to say a special thank you to my staff for jumping in and helping with all of the Payroll Protection Applications, stimulus questions and so much more all while being closed to the public. I saw an article that said CPA's are considered first responders to businesses during this pandemic, it is true as well as the banking community which we have been working hand in hand with. Meanwhile, tax season continues!

Thankfully the federal income tax FILING DEADLINE has been officially extended to match the payment extension of 90 days until July 15th. We have not heard an announcement from Louisiana as of yet regarding their May 15th deadline. Our office is still open, we are taking drop-off returns as well as emailed or mailed in tax documents as always.
