If you own a business, have you filed your annual report?

To assist the Secretary of State in providing accurate information to the public, all entities conducting business in the Commonwealth of Kentucky are required to file annual reports with their office by June 30 of each year. Reports can be filed any time between January 1 and June 30 by either:

Filing your annual report online; or
Printing your annual report and returning it by mail or in person.

If you fail to file your annual report, your company may be dissolved.

BENEFITS OF AN LLC

• Personal liability protection: LLCs limit the personal liability of their owners for the company's debts. This means that if the LLC is sued, the court can only seize the LLC's assets, not the owners' personal assets.
• Taxation flexibility: LLCs can choose between pass-through taxation or corporate taxation, such as as an S Corporation or C Corporation. Pass-through taxation prevents double taxation by only taxing LLC profits once, instead of also taxing the profits that individual members receive.
• Ownership flexibility: LLCs aren't required to have a specific number or type of members.

• Profit distribution flexibility: LLCs can distribute profits to their owners in flexible ways, and aren't required to distribute them equally.
• Management flexibility: LLCs allow members to choose how they want to manage their business, whether it's by one or more managers, or by involving all members.
• Credibility: LLCs are seen as more formal than sole proprietorships or partnerships, which can help build credibility with clients, suppliers, and lenders.
