Beginning in summer 2026, eligible taxpayers with a strong history of filing and paying on time may receive automatic relief from certain failure-to-file, failure-to-pay, and failure-to-deposit penalties.

That means fewer formal requests and a simpler process for taxpayers who normally stay compliant but miss a deadline.

However, automatic relief does not erase the tax or interest owed, and not every return or penalty will qualify.

Founders, startup investors, and business owners considering a C-corp structure, this update is worth watching.

Under the new OB3 changes, Qualified Small Business Stock, or QSBS, may allow eligible taxpayers to exclude up to $15 million of capital gain per taxpayer, per issuing corporation, if the requirements are met.

The holding period rules also changed for qualifying stock issued after July 4, 2025:

3 years: 50% exclusion
4 years: 75% exclusion
5 years: 100% exclusion

But QSBS planning is not just about holding stock. Entity structure, ownership changes, conversions, documentation, and timing can all affect eligibility.

This is the kind of tax strategy that should be reviewed early, not at the exit.
