Do you own or control a company that was created or registered in the United States? If so, you may need to report your beneficial ownership information to FinCEN, the Financial Crimes Enforcement Network. This is a new requirement under the Corporate Transparency Act of 2021, which aims to prevent money laundering, tax evasion, and other illicit activities through shell companies.
Beneficial owners are individuals who own or control at least 25% of the company, or have significant influence over its management.
A reporting company created or registered to do business:
- Before January 1, 2024, will have until January 1, 2025
- On or after January 1, 2024, and before January 1, 2025, will have 90 calendar days
- On or after January 1, 2025, will have 30 calendar days
…after receiving notice of the company’s creation or registration to file its initial beneficial ownership information report.
To report your beneficial ownership information, you need to provide your name, birthdate, address, and a unique identifying number and image from a valid identification document, such as a passport or driver’s license.
