New Federal Reporting Requirement for Beneficial Ownership Information (BOI)

We are making you aware of new reporting requirements for many businesses, which can include single member and multi member LLC’s, C and S corporations. Starting Jan. 1, 2024, certain businesses will be required to comply with the Corporate Transparency Act (CTA) which includes the filing of Beneficial Ownership (BOI) reports. These reports will be administered by the Financial Crimes Enforcement Network (FinCEN) and establishes a database of companies’ beneficial ownership information to be used by law enforcement. This is not an Internal Revenue Service (IRS) issue.

There are significant penalties for missing filing deadlines, including criminal (fines and/or imprisonment) or civil (monetary) penalties. There is a $500 per day penalty, up to $10,000, and imprisonment of up to two years for the WILLFUL failure to timely file initial or updated reports.

Assisting with compliance and or filing of the CTA, including BOI reporting, is not within the scope of services we provide. It will be your exclusive responsibility to comply with CTA, including its BOI reporting requirements. Information can be found at https://www.fincen.gov/boi. Please consult with legal counsel on additional questions and or concerns regarding how BOI reporting requirements and issues affects your company.

As stated previously, compliance with the CTA, including the BOI reporting applies to most businesses including single member LLCs, which are treated as a disregarded entity for income tax reporting. A disregarded entity does not have a filing requirement with the Internal Revenue Service.

Finally, we wish to emphasize that we are sending you this letter to make you aware of these new current reporting requirements, associated risks, and suggest you contact legal counsel to assist
you with the CTA and related BOI filings for entities that you own or control.

The US Treasury estimates that people are holding over $1Billion of matured, uncashed savings bonds. Many of the bonds are very old.

The Treasury Dept even wrote a report about the problem.

Be sure to check in with any elderly relatives to see if they might be holding bonds!

Ethel H. Holt, 102 and 9 months passed away at her home on September 17, 2023. Ethel was born in Kansas City, Kansas on December 3, 1920. My mother (Ethel H. Holt) 102 years old passed away this morning. She was a vibrant, loving, caring, and compassionate person. She was a very strong and courageous woman. At around age 18, she went to Washington D.C. with our great Aunt Helen. There she worked for the F.B.I. Then later, she worked for the IRS (Internal Revenue Service) were she learned how to do tax returns. She brought her knowledge back to Kansas City where, over 70 years ago, she started Holt’s Income Tax and Accounting Service. The business is going strong even today.

When she was young, she played softball and even coached an all-girls’ basketball team. My mother worked hard and what she did, she did for her children and family. She dedicated her whole life to her family. We traveled all through out the US together as a family on many vacation adventures. Celebrated many holidays, birthdays, graduations and weddings together. She was the glue that kept us together. She will be in our hearts forever.

She is survived by my brother Dennis and his wife Ellen from Florida. Their two daughters Michelle her husband Steve and two children Keira and Oliver from Florida. Jennifer and her husband Dan and child Bernie in Lee’s Summit Missouri. My brother Ron from Kansas City Kansas and my younger sister Brenda in Overland Park Kansas.
Thank you, Mom, for all the wonderful things you gave and did for us. We are eternally grateful. We love you and always will. The one great thing about Love, is that you get to take it with you. It never dies.
