For a construction project, reaching completion does not necessarily mean that the financial work is finished. Before the project is submitted for final settlement, the investment costs recorded in the accounting records need to be reviewed against approved budgets, contracts, completed work and supporting documentation.

Statutory audit requirements in Vietnam apply to specific categories of enterprises and organizations. For businesses within the mandatory audit scope, annual financial statements must be audited by a qualified independent audit firm in accordance with applicable Vietnamese regulations and auditing standards.

Under the Law on Independent Audit and Decree No. 17/2012/ND-CP, mandatory financial statement audits apply to foreign-invested enterprises (FDIs), credit institutions and foreign bank branches, insurance and securities businesses, public companies, state-owned enterprises, and certain entities implementing nationally important or Group A projects funded with state capital.

For these entities, the statutory audit forms part of the financial reporting and regulatory compliance process. The auditor independently examines the financial statements and relevant accounting records and issues an audit report in accordance with applicable Vietnamese Standards on Auditing. The audit provides assurance on whether the financial statements are prepared in accordance with the relevant accounting requirements.

The audit process may involve detailed examination of material accounting balances and transactions, together with supporting documentation maintained by the finance and accounting function. The quality and completeness of accounting records therefore have a direct bearing on the audit process, particularly where transactions, balances or accounting treatments require substantive supporting evidence.

🔍 Vietnam's Statutory Audit Requirement Now Reaches Private Companies

Plenty of privately held Vietnamese companies still assume a statutory audit is something only FDI entities, banks and listed companies have to deal with. That stopped being true in April 2025.

Decree 90/2025/NĐ-CP, which amended Decree 17/2012/NĐ-CP and took effect on 14 April 2025, extended the mandatory audit requirement to large-scale enterprises that are not public companies. It sits alongside the Law on Independent Audit No. 67/2011/QH12, amended by Law No. 56/2024/QH15 with effect from 1 January 2025. The familiar categories are unchanged: FDI enterprises, credit institutions and foreign bank branches, financial institutions, insurers, reinsurers and insurance brokers, public companies, listed entities and securities issuers, and state-owned enterprises subject to defined exemptions. What is new is the group sitting underneath them.

The test is size, not ownership. A company is caught if it meets any two of three thresholds: an annual average of more than 200 employees contributing to compulsory social insurance, revenue above VND 300 billion, or total assets above VND 100 billion. So a domestic limited liability company turning over VND 320 billion with a balance sheet above VND 100 billion now needs an audit, despite having no foreign shareholder and never having issued a security. The test works in reverse too — fall below the criteria for two consecutive years and the obligation lifts until you cross back over. Which means someone has to watch the numbers each year rather than settle the question once.

Where this really bites is not the audit itself but everything that has to happen before it. Audited financial statements are due within 90 days of the financial year end under the Law on Accounting, and the work is performed under Vietnamese Auditing Standards (VSA), which set out what actually counts as evidence: inventory observation, bank confirmations, tracing transactions back to source documents, analytical procedures over anything that moves oddly. Companies going through a first audit usually find that files which satisfied the tax authority do not satisfy an auditor. Related-party transactions, provisions, revenue cut-off and capitalised costs are where the gaps tend to appear, and none of them are quick to fix in March.

Choosing the firm matters more than it looks. Only a firm on the Ministry of Finance's published list of entities eligible to provide audit services can issue a report with legal standing; anything else will not hold up with tax authorities, banks or investors. Independence rules also stop the same practising auditor from signing off for one client more than five consecutive years running, which is worth checking early if the same person has been on the engagement for a while.

Two things are worth doing before the next year-end close. Run the size test on actual figures rather than the budget, since the assessment is made on what the year really produced. And read the management letter properly. The control weaknesses an auditor flags there are usually the same items that come back as questions in a tax inspection.

📄Official Letter 15676/DON-QLDN1 clarifies PIT exemption and withholding rules
When an employee leaves a company, the final payroll settlement may include compensation for unused annual leave. The PIT treatment of this payment depends on whether the amount falls within the exemption provided under Vietnam's tax and labor regulations.
On 14 August 2026, the D**g Nai Tax Authority issued Official Letter No. 15676/DON-QLDN1 in response to a tax query from the D**g Nai Branch of De Heus Co., Ltd., clarifying the PIT treatment of unused annual leave payments and income paid to employees after termination under Decree No. 253/2026/ND-CP.
The tax authority confirmed that salary or wages paid for unused annual leave upon termination or job loss are exempt from PIT where the payment satisfies the conditions prescribed under Clause 3, Article 113 of Labor Code No. 45/2019/QH14. Accordingly, the qualifying portion of unused annual leave compensation is not included in the employee's PIT-taxable income.
However, any amount paid in excess of the limit prescribed by labor regulations is treated as taxable income under Clause 3, Article 26 of Decree No. 253/2026/ND-CP. From a payroll and tax compliance perspective, employers should therefore determine the amount eligible for exemption before calculating the employee's taxable income.
The Official Letter also clarifies the withholding requirement for income paid after an employment contract has ended. For a resident individual who does not have an employment contract or has an employment contract of less than three months, PIT must be withheld at 10% where the taxable income is VND 5 million or more per payment. This withholding requirement also applies to payments made to former employees after termination.
For payments below VND 5 million per payment, 10% PIT withholding applies when requested by the individual.
These rules are relevant when accounting and payroll teams process employee termination settlements. In particular, businesses should distinguish between exempt unused annual leave compensation and any taxable excess, while applying the appropriate withholding treatment to other post-termination payments.
Decree No. 253/2026/ND-CP took effect on 1 July 2026, with provisions concerning employment income of resident individuals applying from the 2026 tax year.
