Decree 103/2026/ND-CP introduces significant changes to Vietnam's overseas investment framework that could affect both the application process and how international investment strategies are planned from the outset.

Vietnam has introduced two important payroll and tax compliance changes for employers in 2026. From 1 July 2026, the minimum basic wage will increase from VND 2,340,000 to VND 2,530,000 per month, raising the caps used to calculate Social Insurance, Health Insurance and Trade Union contributions. Separately, the monthly personal income tax (PIT) filing requirement for salary and wage income has been replaced with quarterly reporting.

These changes will affect payroll calculations, compliance processes and reporting timelines for businesses across Vietnam. Vietnam's legal representative requirements are more operationally demanding than many foreign investors anticipate, with residency rules and digital identity obligations directly affecting a company's ability to complete post-establishment steps.

Under the Law on Enterprises, every company must have at least one legal representative residing in Vietnam at all times. Combined with the corporate electronic identification (e-ID) requirements introduced under Decree 69/2024/ND-CP, who holds the role and where they are based determines whether a company can register for e-invoices, access government platforms and begin operations without delay.

For foreign investors who are not immediately resident in Vietnam, planning the appointment before establishment, rather than treating it as a formality, is essential to avoid disruption to early operations.
