🔵 𝗩𝗶𝗲𝘁𝗻𝗮𝗺 𝗩𝗔𝗧 𝟮𝟬𝟮𝟲: 𝗡𝗲𝘄 𝗥𝘂𝗹𝗲𝘀, 𝗦𝗶𝗺𝗽𝗹𝗲𝗿 𝗩𝗔𝗧 𝗔𝗱𝗷𝘂𝘀𝘁𝗺𝗲𝗻𝘁𝘀

Effective 1 July 2026, Circular 89/2026/TT-BTC introduced a new VAT return and simplified how businesses handle certain input VAT adjustments.

🧮 Previously, businesses generally had to:
- File a supplementary VAT return for the original tax period; and
- Reflect the adjustment in the current VAT return.

Under the new rules, Items 37 and 38 have been expanded, allowing certain input VAT adjustments to be made directly in the current VAT return without filing a supplementary return.

This can apply to situations including:
🔸 Certain deferred or instalment purchases
🔸 Subsequently obtaining non-cash payment evidence
🔸 Qualifying input VAT errors or omissions
🔸 Adjusted or replacement invoices

The new approach simplifies compliance and reduces administrative work. However, businesses should continue to maintain proper payment documentation, invoice controls and VAT reconciliations.

Vietnam's manufacturing sector continues to perform strongly. But beneath the headline numbers, there are vulnerabilities that could shape the country's competitiveness over the next decade.

🎥 In Episode 2 of Bizline by Vietnam Today, Mr. Matthew Lourey, Chairman of Alitium, shared three areas he believes will be critical to Vietnam’s manufacturing competitiveness:

As Matthew explains, Vietnam cannot rely indefinitely on its traditional advantage of abundant labour:

“The vulnerabilities of relying upon this abundance of labour that Vietnam grew up with is going to be dangerous. We’re going to move towards more automation, and we must make sure that we’re moving towards sectors that the world wants and that Vietnam is developing a propensity to excel at.”

"The bigger question is whether Vietnam can build enough depth and capability to keep manufacturers here as competition from other markets increases. That means developing stronger local supply chains, investing in automation and productivity, and moving into higher-value sectors where global demand is growing."

💱 For Vietnam, the next stage of manufacturing growth is not simply about attracting more factories. It is about building an ecosystem that makes those investments want to stay.

Businesses in Vietnam may be required to contribute to the Provincial Natural Disaster Prevention and Control Fund each year.

While the amount may be relatively small, it remains a mandatory statutory contribution for eligible businesses, with certain employee contributions also required.

For employers, there are two key obligations:

🔹 Company contribution: generally 0.02% of total assets as at 31 December of the preceding year, subject to a minimum of VND 500,000 and a maximum of VND 100 million/year.
🔹 Employee contribution: employers are generally responsible for collecting and remitting employee contributions, calculated based on the applicable regional minimum wage and working days.

For 2026, employers should also note the payment deadlines: at least 50% of the company contribution by 31 July, with the balance by 30 November, while employee contributions are generally due by 31 July.

Failure to comply may result in administrative penalties and payment of the outstanding contribution.

In cross-border M&A and group restructurings, Vietnamese businesses are often held through companies incorporated in Singapore, Hong Kong or other jurisdictions.

When those offshore holding companies are sold, the transaction may appear to have little connection with hashtag .
🔸 The buyer and seller may both be overseas.
🔸 The agreement may be signed outside Vietnam.
🔸 The purchase price may be paid offshore.
🔸 The Vietnamese business may even continue to have the same immediate shareholder.

⁉️ 𝗬𝗲𝘁 𝗩𝗶𝗲𝘁𝗻𝗮𝗺𝗲𝘀𝗲 𝘁𝗮𝘅 𝗼𝗯𝗹𝗶𝗴𝗮𝘁𝗶𝗼𝗻𝘀 𝗰𝗮𝗻 𝘀𝘁𝗶𝗹𝗹 𝗮𝗿𝗶𝘀𝗲.

In 2026, this issue is becoming increasingly important for both buyers and sellers.

🔹 For sellers, an unexpected Vietnam tax liability can reduce the net proceeds from an exit.
🔹 For buyers, failing to identify the exposure early can create additional compliance responsibilities for the Vietnamese business, including potential tax and penalties.

Under Vietnam’s current rules, foreign corporate sellers involved in certain direct or indirect capital transfers may be subject to 2% corporate income tax on gross sale proceeds attributable to Vietnam. This means a tax liability can arise even where the seller does not make an overall economic gain.

The position can become more complex where transactions involve:
🔹 Internal group restructurings
🔹 Tax treaty considerations
🔹 Offshore holding structures
🔹 Questions around who must file and pay the tax
🔹 Transaction documents and contractual protections

Australia–Vietnam economic ties are moving in both directions.

Following Vietnam’s Party General Secretary and State President Tô Lâm’s recent visit to Australia, both countries reaffirmed their commitment to strengthening trade, investment and supply chain linkages, with a target of raising bilateral trade to US$20 billion.

The numbers are already moving in the right direction.

🔁 Two-way trade reached US$8.2 billion in the first six months of 2026, up 22%, while Vietnam’s exports to Australia increased by more than 25%.

🤖 The partnership is also expanding into AI, semiconductors, digital technology, green technology, and other emerging sectors, while strengthening integration into regional and global supply chains.



🇻🇳 🇦🇺 The relationship is increasingly moving in both directions, with Australian companies expanding in Vietnam and Vietnamese businesses investing and building their presence in Australia.

🎥 Speaking with Vietnam Today, Mr. Matthew Lourey, Chairman of Alitium and former President of the Australian Chamber of Commerce Vietnam (AusCham), shared his perspective on the growing two-way investment relationship between the two countries.

“We’re seeing investment in agriculture, resources and areas that are important to Vietnam, just as we’re seeing investment from Australia into Vietnam in areas that are important to Australia. We’re seeing tech companies going in, we’re seeing construction companies. They’re all taking the expertise they have in Vietnam and trying to expand into the market and take advantage of the opportunities that exist.”
