⚖️ IMPORTANT DEVELOPMENT IN SOUTH AFRICAN TRUST LAW

The Department of Justice and Constitutional Development has published the Regulation of Trusts Bill, 2026 for public comment.

If enacted, the Bill will repeal and replace the Trust Property Control Act 57 of 1988 and introduce a substantially expanded regulatory framework for the creation, administration and governance of trusts in South Africa.

Among the important proposals are:

🔹 Mandatory annual returns to the Master
🔹 Expanded requirements for annual financial statements
🔹 Strengthened beneficial ownership reporting, including a proposed 10-day period for reporting changes
🔹 A statutory framework for the appointment of independent trustees
🔹 More detailed duties governing the investment of trust assets
🔹 Expanded record-keeping and governance requirements for trustees
🔹 Formal compliance notices and administrative fines
🔹 Expanded powers of oversight and investigation by the Master
🔹 New statutory requirements dealing with trustee resignation, trust amendments and termination
🔹 Continued emphasis on anti-money laundering and terrorist-financing risk within the trust sector

The Bill represents potentially one of the most significant reforms of South African trust law since the introduction of the Trust Property Control Act in 1988.

Importantly, this is currently a draft Bill published for public comment — it is not yet law.

Interested parties have until 11 September 2026 to submit comments to the Department.

The Future of South Africa’s Trust Service Provider Sector Depends on Evidence, Not Assumptions

South Africa’s Trust Service Provider (TSP) and Company Service Provider (CSP) sector is entering one of the most significant regulatory periods in its history.

Alongside the current Risk and Compliance Return (RCR) submissions, the ongoing National Risk Assessment (NRA) process will help shape how our sector is viewed from an anti-money laundering and counter-terrorist financing perspective for years to come.

This is not simply a regulatory exercise.

It is an opportunity to ensure that the trust industry is assessed on objective evidence, reliable data and demonstrated controls, rather than on perceptions surrounding the misuse of trusts.

There is no doubt that trusts can be abused by criminals.

However, there is an equally important distinction between the potential misuse of a legal vehicle and the inherent risk presented by professional Trust Service Providers who operate within robust governance, F**A compliance and risk management frameworks.

Professional fiduciary practitioners, attorneys, accountants and trust administrators spend considerable time implementing:
• Risk-based client due diligence.
• Beneficial ownership verification.
• Ongoing monitoring.
• Record keeping.
• Suspicious and unusual transaction reporting.
• Independent compliance oversight.
• Staff training.
• Governance and internal controls.

These measures exist specifically to identify and mitigate risk.

As the NRA process progresses, it is essential that industry, regulators and professional bodies continue working together to strengthen both compliance and the evidence base that informs future policy decisions.

They will be those that can clearly demonstrate a mature compliance culture, effective governance and a genuine commitment to protecting the integrity of South Africa’s financial system.

The future of the fiduciary profession depends not only on compliance—but on demonstrating it.
