Compliance isn't a once-off.

Your beneficial ownership filing has to be updated within 10 business days whenever ownership actually changes:

• shares transferred
• a new shareholder comes in
• a director appointed or removed

"Who do I even list as a beneficial owner?"

It's the question that stops most people before they start.

A beneficial owner is a natural person — an actual human, never a company — who:

• holds 5% or more of the shares or voting rights, or
• can appoint or remove directors, or
• otherwise exercises real control over the company

The part that catches people is "indirectly". If a trust or a holding company owns shares, you have to look through it to the people behind it.
