COMPLIANCE ADVISORY: RE REGISTRATION DEADLINE EXTENDED

Following the recent gazetting of Statutory Instrument 76 of 2026, the government of Zimbabwe has officially extended the mandatory re-registration deadline for all companies and Private Business Corporations (PBCs).

The new legal deadline is 20th April 2028. While this provides significant "breathing room," businesses are encouraged to finalize their migration to the new digital registry early to avoid operational disruptions with banks and other authorities.

Don’t Wait Until 2028!
Although the legal "strike-off" date has moved, being compliant remains a priority for daily operations. Use this period to:
• Update company records and director details.
• Clear all outstanding annual returns (a mandatory prerequisite for re-registration).

This ZIMRA Public Notice (No. 19 of 2026) is an official reminder to Trusts and Trustees in Zimbabwe about their tax compliance obligations under national tax laws. Here’s a clear breakdown of what it means:

🧾 Purpose of the Notice
ZIMRA is reminding all Trusts—legal entities that hold and manage assets on behalf of beneficiaries—to register for tax, file returns, and pay all taxes due. This includes obligations under:

Income Tax Act [Chapter 23:06]

Value Added Tax Act [Chapter 23:12]

Capital Gains Tax Act [Chapter 23:01]

⚖️ Key Compliance Requirements
Every Trust must:

Register for tax and obtain a Taxpayer Identification Number (TIN).

Appoint a Public Officer to represent the Trust in tax matters.

Submit all outstanding tax returns (income tax, VAT, capital gains).

Declare all sources of income, including:

Rental income

Business profits

Investment income

Capital gains

Notify ZIMRA of any changes (address, banking details, trustees, beneficiaries, or cessation of operations) using the REV 2 form.

Comply with filing and payment deadlines.

Maintain proper records and documentation to support all declarations.

📣 Call to Regularise
ZIMRA is giving Trusts until 30 April 2026 to review and correct their tax affairs voluntarily.
Those who declare and pay voluntarily will benefit from reduced penalties under the Penalty Loading Model.

🔍 Audit and Enforcement
Starting Q2 of 2026, ZIMRA will begin audits on Trusts that fail to comply.
Non-compliance may lead to:

The Ministry of Industry and Commerce has updated the Control of Goods (Import and Export) Regulations. Here’s what you need to know:
✅ Licence Fees Introduced
-Import licence: US$100
-Export licence: US$50
-Fees are non-refundable and must be paid before processing.
🚫 Applications Can Be Rejected If:
-Goods fail national quality/safety standards
-They harm Zimbabwe’s economic interests
-You’ve violated import/export rules before
🚗 Second-Hand Vehicle Ban
-Vehicles 10 years or older are banned unless:
-Inherited from deceased estates
-Brought by immigrants or diplomats
-Classified as vintage
👕 Second-Hand Clothing & Undergarments

In Zimbabwe, when a company is deregistered under the Companies and Other Business Entities Act (Chapter 24:31), it ceases to exist as a legal entity and loses its rights to operate, own property, or enter into contracts. This can result in asset forfeiture, legal exposure for directors, and reputational damage.

📉 What Deregistration Means for a Company
When a company is deregistered, it is formally removed from the Companies Registry. This can happen due to:
• Failure to re-register by the deadline (20 April 2026 for manually registered companies)
• Non-compliance with statutory obligations (e.g. failure to file annual returns)
• Voluntary deregistration by shareholders or directors
• Registrar’s decision if the company is defunct or inactive
Once deregistered:
• The company loses its legal personality — it can no longer sue or be sued.
• Its assets may be forfeited to the State unless properly wound up.
• Contracts and obligations remain enforceable against directors or shareholders if they acted fraudulently or negligently.
