Companies Act Amendments and The Use of a Common Seal

Singapore companies have not needed a common seal since 31 March 2017, and the amendments that commenced on 20 October 2026 left the ex*****on rules untouched. Yet the question resurfaces every year, especially when seals are confused with company stamps or contracts must be enforced overseas.

Our updated 2026 guide explains the current Companies Act position, how documents are validly executed by signature or by seal, and the practical scenarios where a seal still helps.

Read the full guide on the 3E Accounting Singapore blog for comparison tables, an ex*****on checklist and a five-question FAQ.

Transfer of Shares in Singapore

Signing is only the halfway mark in a Singapore share transfer. Stamp duty, register updates and share certificates decide when the new shareholder actually takes effect — and the annual-return rules that commenced on 20 October 2026 raise the bar on accurate records.

Our guide walks through the full procedure: constitution checks, pre-emption rights, board approval, Form 32B, stamping at 0.2% of the higher of price or net asset value, and ACRA reporting, with tables for individuals, corporate and foreign parties.

Read 3E Accounting Singapore's guide before you sign, and reach out if you need the process handled end to end.

Setting Up an Offshore Company in Singapore

The term offshore company is often misused when applied to Singapore. A Singapore-incorporated company with foreign owners is governed by exactly the same Companies Act 1967 rules as any local entity — same registers, same filings, same transparency.

Our updated 2026 guide clarifies when the label genuinely applies, the legitimate uses for foreign founders and holding companies, and the current requirements: resident directors, beneficial-ownership registers, banking due diligence, ECI and Form C-S deadlines.

What is Mosque Building and Mendaki Fund (MBMF)?

MBMF is the payroll deduction many Singapore employers run without fully understanding it: a fixed, banded contribution from Muslim employees, collected by the CPF Board to fund mosque building and MENDAKI's education work.

Our updated guide explains who must contribute in 2026, how the wage bands are set, how remittance fits the monthly CPF cycle, and how MBMF differs from MENDAKI, CDAC and SINDA.

How Do Employers Calculate Skills Development Levy in Singapore?

Singapore's Skills Development Levy changed on 1 January 2026: the wage ceiling rose from $4,500 to $5,000, and the monthly cap is $11.25 per employee. Payroll systems still running the old parameters are underpaying every month.

Our 2026 guide covers the 0.25% levy rate, who is covered (including foreign and part-time staff), a step-by-step computation with worked examples, and the 14th-of-the-month payment deadline.
