Urgent BOI info

Late on December 23, 2024 the 5th Circuit Court of Appeals removed the injunction against filing the BOI report.

What does this mean? It means that once again the reporting requirements are back on, immediately! FinCen did delay the reporting due date until January 13, 2025 for the estimated 25 million businesses expected to file.

House Passes Tax Relief for American Families and Workers Act

The Bill increases and modifies the Child Tax Credit and increases the Bonus Depreciation allowance from 80% back to 100%, among other not as prominent tax changes.

The House of Representatives has passed the Bill and now progresses to the Senate. Will it pass retroactively for 2023? The IRS has already opened filing for the 2023 year and passage of this Bill will impact a great number of returns, primarily through the Child Tax Credit expansion and Bonus Depreciation. If this passes, the IRS will have to rework its systems before it can accept returns as will the tax software providers. It is possible we will see delays in the filing date and even more compression of tax season than has become the new norm.

Congress has a track record of not getting along and passing timely Bills. It is likely nothing will change until March and then everything will be on a significant hold as IRS and software's try to redo all their computing systems.

If you wish to wait to file your tax return you need to notify us in writing, you then accept the potential consequences of waiting, i.e. late filing penalties or shortage of correct tax paid, which IRS can penalize and add interest to.

This is yet another reason we advocate that Farmer's pay the 4th Quarter Estimate each year. It lets you file the return on April 15th, like everyone else, and if they extend or make changes to the tax season, you will be eligible for those. You may not, if you only try to file before March 1st of each year. This could mean an amended return and potential greater looks into your return.

We are sending out a quick TIP on treating your entity as the separate business you had your lawyer set it up for. The problem that happens when you jeopardize this part of your entity is you also increase issues with the Internal Revenue Service.

The moment you set up an entity YOU MUST think of & treat it as a separate “person” as it is no longer you (legally). You cannot pay personal bills or pay entities bills that you also own.

The reason for this is if that entity can pay personal bills, it must still be you, so now you have just lost any entity/personal liability protection you thought you had by setting up the entity to protect yourself and personal belongings. This can make you personally liable for the business.

In general, if your LLC is sued, a creditor can only collect any funds held by the LLC, not by you personally. It makes sense then, to keep only the funds that you absolutely need in the LLC. Any extra funds can be paid out from the LLC to you as the owner. This payment is determined by how your entity is set up, which is a different discussion than what we are discussing here.
